By this Agreement between the Are We Europe Foundation (AWE) and the Subscribing Institution named below, AWE grants a subscription to the AWE print magazine as referred to below (henceforth simply as “AWE”), subject to the terms and conditions set forth in the agreement below, all of which are hereby agreed to between AWE and the Subscribing Institution.
Terms & Conditions
1. Scope of License: Institutional Subscriber Use Restrictions
Under this Agreement, Subscribing Institution is granted a non-exclusive, revocable, non-transferable license to receive X amount of copies of hard-copy printed issues of AWE Magazine, on a yearly, quarterly (3-monthly), delivered to Subscribing Institution by post.
Authorized Users must be employees, faculty, staff, and students officially affiliated with the Subscribing Institution and authorized clients of the Subscribing Institution’s library facilities. This includes occasional users who access copies of AWE Magazine through stations physically located on the site and under the control and administration of the Subscribing Institution.
Authorized Users includes persons affiliated with remote sites or campuses of the Subscribing Institution that are administered from the Subscribing Institution’s site or campus, but not persons affiliated with remote sites or campuses that have separate administrative staffs. This subscription entitles Authorized Users to access AWE magazines and:
a) make one hard copy of the print magazines; such copies may be shared with non-authorized users to the same extent as the print edition, provided such sharing is for the purpose of scholarly communication or educational use and there are no commercial benefits. Authorized Users who do print articles must maintain all copyright and other notices on the printed articles. Authorized Users who do download articles must maintain all copyright and other notices on the articles. This Agreement is enforceable only against and by the parties who have executed it; the Agreement neither creates nor restricts rights in third parties. AWE understands that the Subscribing Institution is unable to practically enforce the terms of the Agreement for third parties. However, AWE asks that the Subscribing Institution agree to make reasonable efforts to take appropriate action should they become aware of any misuse that would violate the terms of the agreement and that the Subscribing Institution continue to promote an environment that does not allow for abuse of the terms of the Agreement.
2. Terms and Fees
This Agreement will last for one year (12 months) starting from the specific date on which the subscription first becomes effective. This Agreement will remain in effect thereafter for successive subscription years so long as annual subscription fees are paid, subject to any new terms and/or conditions required by AWE at that time and shared with Subscribing Institution 30 days in advance.
3. Technical Assistance and Customer Support
Technical assistance and customer support can be obtained Monday through Friday, excluding holidays, from 9:00 a.m. to 4:30 p.m. ET by calling +33-695-895931 or by sending an e-mail to firstname.lastname@example.org / email@example.com.
AWE is the owner of all right, title, and interest, including copyright, translation rights, redistribution rights, and the right to produce the material in alternate media, for any and all material that can be accessed under this Agreement.
AWE print magazines and their content are subject to copyright, database protections, and other rights of the publisher (SIAM) under European Union (EU) law and the country of use. The Subscribing Institution acknowledges that it has no claim to ownership by reason of its use of AWE print magazines. Downloading or photocopying the print edition of the publication is permitted for personal or educational use. Other recompiling, copying, publication, or republication of the data, or any portion thereof, in any form or medium whatsoever, may be done only with specific written permission from AWE.
5. Cancellation / refund policy
Both AWE and Subscribing Institution have the right to terminate this Agreement at the end of a subscription year by written notice given at least 30 days before the end of the subscription year. AWE reserves the right to suspend or terminate access to AWE print magazines without prior notice if the Subscribing Institution or any Authorized User of the Subscribing Institution violates any term of this Agreement.
Orders are regarded as firm and payments are not refundable, except in the event of a technical failure, cancellation, or any other error in the production and/or delivery process in one / several copies of AWE magazine, as well as in the event of delays associated to printing. In the event of the inability to deliver a copy of AWE magazine to Subscribing Institution due to one of the aforementioned reasons, AWE shall refund the amount corresponding to one or several issues of magazine within 4 weeks of said event.
Claims for misdirected print issues cannot be considered more than FOUR months after publication or date of order, whichever is later. Please give FOUR weeks’ notice of change of address: i.e. supplying both the old and new address details to firstname.lastname@example.org with subject headline: Institutional Subscription - Change of Address.
6. Disclaimer of Warranties
AWE warrants that it has the authority to grant the License as described in this Agreement. AWE has made and will make reasonable efforts to ensure that AWE print magazines are complete and accurate. However, AWE does not warrant their completeness or accuracy and does not warrant that the Subscribing Institutions or any Authorized User’s use of AWE print magazines will be uninterrupted or error free, or that the results obtained will be useful or will satisfy the Subscribing Institution’s or any Authorized User’s requirements. AWE MAKES NO OTHER WARRANTIES OR REPRESENTATIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF DESIGN, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE.
Subscribing Institution’s sole and exclusive remedy for damages and/or loss in any way connected with this License shall be limited to the amount of the License Fee. UNDER NO CIRCUMSTANCES SHALL AWE BE LIABLE TO SUBSCRIBING INSTITUTION OR ANY OTHER PERSON, INCLUDING BUT NOT LIMITED TO AUTHORIZED USERS, FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER, INCLUDING WITHOUT LIMITATION, ERRORS OR INACCURACIES IN THE JOURNAL CONTENT.
Neither party shall be responsible for delay or failure in performance resulting from acts beyond the control of such party. Such acts shall include, but not be limited to; an act of war, riot, epidemic, fire, flood, other disasters; or an act of government.
a. This Agreement constitutes the entire Agreement between the parties hereto and supersedes all prior oral and written and all contemporaneous oral negotiations, commitments and understandings. No waiver, amendment, or modification of this Agreement shall be effective unless it is in writing and signed by the parties hereto.
b. The Subscribing Institution may not assign or transfer its rights under this Agreement.
